Legal identity and contract

The two legal steps towards Transaction Intelligence production on Platform: declaring who accepts the contract, answering a supporting-item request by reference, accepting the version in force.

View as Markdown

Two Platform pages carry the legal elements of Transaction Intelligence. Identité juridique (legal identity) says who would accept the contract, from which address and under which registrations; Contrat (contract) shows the version in force and its acceptance. Neither opens any access on its own: they are two of the conditions for a production key. See Production access.

Only an owner or an admin can fill in the legal identity and accept the contract, since these actions commit the organisation. Other roles see their state, so they can understand what is blocking.

The form first asks who carries the workspace: a company or another legal entity, or an individual. An individual has no company name and no registration to give: building on your own does not mean inventing a company.

ItemDetail
Company nameFor a legal entity: the exact name under which it is registered
AddressLine 1 and city; line 2, postcode and region, state or province are optional, since not every country has postcodes
CountryTwo letters, the international code (for example FR for France, BE for Belgium)
RegistrationsFor a legal entity, a free and optional list: a register (siren, vat, company_number, ein…), a value and, if you wish, the issuing country
Legal contactName, email and phone in international format
Production contactThe person in the workspace who answers for production, chosen from the list of members: an owner or an admin for a legal entity, the person responsible for the workspace for an individual

While an item is missing, the page names it and the server refuses acceptance of the contract. The legal contact's email and phone are shown only to members who can edit the identity; others see that a contact exists.

The production contact's phone must be verified on the designated person's Noryo identity and match the number given. The designation is saved even if that is not yet the case; the corresponding condition then stays open. See Developer profile.

Answering a supporting-item request

While a request is being handled, Noryo may ask for a supporting item: a company registration, the identity of the representative, proof of address, your site's address, or another item it specifies. The request appears on the legal identity page, in the "Justificatifs demandés" (supporting items requested) section.

You answer with a reference: a number, an identifier or an address where Noryo can find the document. No document is uploaded to Platform, and no secret is ever asked of you.

StateWhat it means
Demandé (requested)Noryo is waiting for your answer
Fourni (provided)Noryo is reviewing your answer; this blocks nothing
Accepté (accepted)Done. Any new doubt would be the subject of a new request
Refusé (refused)A new answer is expected

An owner or an admin can answer a requested or refused item, as long as the workspace is active.

The Transaction Intelligence contract

The contract page shows the version in force: its title, its version number, its effective date, a link to its text and its SHA-256 fingerprint, which identifies the exact text. Only one version applies at a time.

If Noryo has published no version in force, there is nothing to accept, yet the "applicable contract accepted" condition stays unmet: production stays closed.

Accepting the contract

Acceptance happens on the contract page, in three steps.

1. Check the prerequisites

You must be an owner or an admin, the workspace must be active and the legal identity must be complete. Otherwise, the page says what is missing instead of offering the form.

2. Read the text

Follow Lire le texte du contrat (read the contract text), then tick "J'ai lu le texte" (I have read the text) for the version shown.

3. Attest and accept

Tick the attestation: you have the authority to bind the organisation and you accept the contract on its behalf. Click Accepter le contrat (accept the contract). The fingerprint shown is sent with the acceptance, and the server compares it with the published version's: if the text changed in the meantime, the acceptance is refused and you need to reload the page.

From this action, Noryo keeps the date, the signatory's first and last name, the fingerprint of the accepted text and the state of the legal identity at that moment. An acceptance is never edited or deleted; accepting a new version adds a row. The page shows the most recent one.

When a new version is published

If the new version requires a new acceptance, the workspace stops being up to date until an owner or an admin accepts it. If Noryo declares that it does not, the workspace stays up to date and the page says so.
